Exchange of products.
Products are subject to exchange if:
- The product has a factory warranty (which does not include mechanical damage).

Terms and Conditions
These terms and conditions constitute a binding agreement between you and Villanus Baltic Ltd (hereinafter referred to as “Villanus Baltic Ltd” or www.vilagro.ge) and govern your use of the Vilagro.ge website. The Vilagro website and/or related services, including any communications made by Villanus Baltic Ltd to merchants and users regarding the services offered, are hereinafter collectively referred to as the Vilagro.ge Platform.
Since customers want to open a personal account on the platform operated by Villanus Baltic Ltd., so that the customer can purchase products through the platform. Villanus Baltic Ltd and the user agree to enter info an agreement based on which the user will open an account, use it, sell and deliver the products placed on its platform by Villanus Baltic Ltd, to the user, and pay the fees by the user.

All users who wish to use Vilagro.ge Platform are required to agree to and abide by the terms and conditions below. The administration of Vilagro.ge reserves the right at any time, unilaterally, through publication, on the same website, to make changes to these conditions without further additional consent of the user.
1.Definition of Terms.
1.1. Terms and definitions used on these terms and conditions shall have the meanings set forth below, unless the context clearly indicates otherwise.
1.1.1. Account - means account registered on the website by the user.
1.1.2. Authorization – means access to the user’s personal account, and includes any action defined in article 5 of these Terms and Conditions.
1.1.3. Terms of use – means these terms, together with any other terms and /or conditions, which these terms of use, by appropriate reference are deemed to be part of these Terms and which govern to the access and use of the Platform by the User, including those related to any content, functions and services, which is offered to the website.
1.1.4. Website – means Vilagro.ge through which the service is offered.
1.1.5. The User (buyer) – a legal or natural person who meets the requirements set forth in these terms and wishes to purchase merchant products through the Platform.
1.1.6. Villanus Baltic Ltd – we or our means Vilagro.ge registered and exited under the laws of Georgia, identification code 400099415, registered address Tbilisi, Kakheti highway 16 km.
1.1.7. User/users – means the user, registered on the Vilagro.ge platform, respectively, separately and together.
1.1.8. Parties – means Villanus Baltic Ltd and it’s customers.
1.1.9. Vilagro Platform – the Platform operated by Villanus Baltic Ltd which includes without limitation Vilagro website.
1.1.10. Operation – any operation performed by the User in connection with the personal account and/or services.
1.1.11. Universal identifiers – a set of data provided to the user by Vilagro.ge, using which he is registered in the identification system and has the opportunity to use a number of Vilagro.ge remote services and/or remote service channels.
1.1.12. Access code – codes, passwords, username, identification code, identifiers, and/or other confidential information that Villanus Baltic Ltd may provide to the user to access various services.
1.1.13. Agreement – the agreement signed between the users and Vilagro.ge which includes these terms and conditions and its appendices if any.
1.2. Where the context allows, words denoting the singular number shall mean the plural and vice versa.
2.Opening and using the User account.
User’s rules for Vilagro.ge services:
2.1.1. The User register on the Vilagro website.
2.1.2. For registration the user specifies the first name, last name, e-mail and password, which only he knows and the system does not store it in an open form, but stores its hashed version, which is not accessible to anyone except the owner.
2.1.3. To complete the registration the user must check the box that he agrees to Vilagro.ge privacy policy and terms of services.
2.1.4. After completing the registration, the user selects the desired product or products on the web page and ads them to the chart in order to purchase them.
2.1.5. To complete the purchase, the User fills in additional information on the purchase page: personal number, mobile number, actual address, chooses the delivery and payment methods he wants and complete the purchase procedure.

3.Universal indetifiers registered in the identification system
3.1. Username - one of the unique parameters defined automatically by the centralized identification system, necessary for authorization to receive remote services.
3.2. Password – one of the unique parameters required for authorization to receive the centralized remote services, which the User defines himself upon registration in the centralized identification system, through the remote service channels selected by Vilagro.ge or through another communication channel. The password is subject to further update/change at the user’s discretion.
3.3. Mobile phone number – the phone number on which the user receives the one time access codes and one time passwords (if any) required to perform the operations specified by the centralized remote services.
3.4. User’s personal number/identification number.
3.5. User’s e-mail address – e mail address at which the User receives the access codes and passwords (if any) necessary for performing the operations specified by the centralized remote service. In order to receive centralized remote services, the user may define the obligations to perform authorization by simple (use of name and password) or complex (name, password and one time code) authentication method. The authorization method for using each relevant remote service channel/service is also registered in the centralized identification system.
3.6. For service improvement and/or security purposes Villanus Baltic Ltd may define additional or different user identifiers.
4. Authorizations.
4.1. After registering and verifying the account, the User undergoes authorization to use the website.
4.2. Authentication is performed through universal user indentifiers.
5. Selection of the products desired by the User, placement of order, purchase, receipt and conditions of cancellation of the transaction.
5.1. After authorization the User is transferred to the main page through the website, from where he can access various information through the navigation buttons.
5.2. By means of the navigation buttons, the user select the desired product category, after which he has the opportunity to filter the data according to the desired price category, merchant, product characteristics and/or other offered data.
5.3. By checking the Confirm button, the User selects and places desired products in his chart.
5.4. After placing the product in the chart, the User will be redirected to the check out page.
5.5. The user will be able to receive the products purchased through the Vilagro.ge platform according to the predefined delivery service rules “withdrawal from the store”.
5.6. The customer has the right to return the purchased item according to the attached return/exchange policy.
5.7. The item selected by the user through the Vilagro.ge platform is considered purchased and ownership of the item is transferred to the user after the item is taken from Villanus Baltic Ltd store.
5.8. The company is entitled, unilaterally, at its discretion, to cancel the transaction made by the user.
5.9. If the company cancels the transaction, made by the user company is obliged to return to the user, to the same account and in the same amount, the amount that the user paid before the cancellation of the transaction by the company.
5.10. The order may be adjusted by telephone communication with the customer and the additional deduction or refund of the difference between the order amounts is confirmed by the customer by pressing the “Confirm” button from his profile or during the telephone conversation with the operator of Villanus Baltic Ltd.
6. Settlement between Villanus Baltic Ltd and the User.
6.1. The customer can pay by credit card, which includes agreeing to these terms and conditions.
6.2. When paying by credit card, the recipient of the transfer is Villanus Baltic Ltd.
6.3. The user settles with Villanus Baltic Ltd using the following payment methods:
- VISA, MASTERCARD on the website www.vilagro.ge
- By transfer on the basis on an invoice.
7. Limitation of liability of Villanus Baltic Ltd
7.1. You agree that you are free to choose whether or not to use Vilagro website and services at your own discretion and risk.
7.2. Villagro Baltic Ltd provides you access to the website and the provision of the services in accordance with these terms and conditions. Villanus Baltic Ltd do not warrant that the website and/or the services will be uninterrupted or free of software errors, viruses or other errors.
7.3. Villanus Baltic Ltd is responsible for:
7.3.2. On the correctness and timeliness of operations on users personal account in accordance with the rules defined in the present conditions and applicable legislation
7.3.3. On the confidentiality of information about operations carried out on a personal account, except for the cases provided for by legislation.
7.4. Villanus Baltic Ltd is not responsible for:
7.4.1. For any direct or indirect damages arising from the cancelation from the transaction made by the user for any reasons.
7.5. Violation of the obligations specified in these terms and conditions results in the responsibility provided for in these terms and the applicable legislation of Georgia. The parties undertake to compensate each other for the damage (loses) caused as a result of their partial or complete non - fulfillment of the terms or improper fulfillment in accordance with the law and/or the terms and conditions.
8. Term and termination of the Agreement
8.1. After the entry info force of these Terms and Conditions, they remain in effect until the User’s registration is canceled.
8.2. Upon purchase of the products by the user under these conditions, payment of the product price in full and on time to Vilagro.ge represents fulfillment of his monetary obligation. Fulfilling a monetary obligation does not terminate these Terms and Conditions.
9. Governing law and dispute resolution procedure.
9.1. The present terms and conditions are regulated and interpreted in accordance with the legislation of Georgia.
9.2. The Parties consider Georgia as the place of fulfillment of the terms.
9.3. Any disputes or disagreements relating to these terms or they interpretation, shall be resolved by negotiations between the parties.
9.4. If the Parties fail to reach an agreement through negotiations within 30 (thirty) calendar days, they unconditionally agree to resort to other means of dispute resolution granted to them by the legislation of Georgia.
10. Making changes to these conditions.
10.1. These terms and conditions may be subject to change. Changes can be made by Villanus Baltic Ltd without prior notice to the user, however in case of substantial change in the conditions the user must again express his consent to them in order to continue receiving the service without interruption. At each substantial change in the Terms, the user will have the opportunity to express his consent while using Vilagro.ge through any channel.
11. A single contract.
11.1. These terms and conditions, together with other related agreements constitute the single and entire agreement regarding the website and/or services and supersede all prior and contemporaneous communications, understandings, written or oral statements and guarantees.
12. Purchase and acceptance of the item.
12.1. The user will be able to receive products purchased through the Vilagro.ge platform withdrawal from the Villanus Baltic Ltd store.
12.2. The recipient of the purchased items can be:
12.2.1. the buyer (user) personally;
12.2.2. any other person specified by the user.
12.3. If the user does not pick up purchased product personally and wants another person to pick it up instead, in such a case, he must provide Villanus Baltic Ltd with the personal data of the picker, namely, name, surname, personal number and address, so that Villanus Baltic Ltd to correctly identify the consignee and hand over the product.
12.4. In case of purchase of the product in installments by the user, only the user can receive products.
12.5. Villanus Baltic Ltd reserves the right to cancel an order made by the user at any time.
13. Item return/exchange policy.
13.1. Please read Vilagro.ge return/exchange policy carefully. By accessing our website villagro.ge and using the website, you confirm that you have read and agree to the return/exchange policy and all terms of using our website.
